THE AGGREGATE LIABILITY OF FORUMSCLOUD AND ITS AFFILIATES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO FORUMSCLOUD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100).

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions.
Any disputes arising from or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Hennepin County, Minnesota.
You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such proceeding in such courts.
IMPORTANT: THIS SECTION CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. PLEASE READ CAREFULLY.
You and ForumsCloud agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Site, or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration rather than in court.

The arbitration hearing shall take place in Hennepin County, Minnesota, unless you and ForumsCloud agree otherwise.
YOU AND FORUMSCLOUD HEREBY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or class member in any class or representative proceeding.
Notwithstanding the foregoing, either party may bring an individual action in small claims court if the claim qualifies. Additionally, we may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by contacting us at [email protected] with your opt-out request.
We may terminate or suspend your access to our Site immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.
Upon termination, your right to use the Site will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
By continuing to access or use our Site after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Site.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
